Description of Work:

1. Group Legal Advisor of 130 companies of Al Maya Group having business presence in 6 Emirates of UAE, namely – Dubai, Abu Dhabi, Sharjah, Fujairah, Ajman, and Ras Al Khaimah; Kuwait, Oman, India, United Kingdom, Polland, France, South Africa and USA. The Group maintains chains of wholesale and retail businesses and agent or distributor of fashion brands, food stuff, garments, dry and wet goods, electronics, books, stationeries and novelties.

2. Gives legal advice to top management of the company regarding commercial risk, settlement of disputes and investment opportunities and represents the Group in any corporate and commercial transactions within and outside the region. Provide the advice for Mergers and acquisition.

3. Provide, advice and implement TAX law ( excise and VAT) for the Group entities in UAE and GCC. Advising on the filing, revers and complies with the executive regulations of the laws. Dealing with FTA (UAE Federal tax Authorities) in various group issues.

4. Drafts and reviews Articles of Association and its amendments, Agency Agreement, Distributorship/Dealership Agreement, Concession Agreement, Leases, Sub-leases, Deed of Assignment (Trademark), Board Resolution, Power of Attorney, Sale and Purchase Agreement (Plot of land, Units and Business entities), Local Service Agency Agreement, Partnership Agreement, Memorandum of Understanding (MOU), Employment contracts, and others.

5. Supervises the registration of trademarks ,the required documentation, Deed of assignments, replying and drafting infringements notices locally and internationally.

6. Heads the Leasing Department; registers freehold properties with Dubai Land Department; registers leases of government owned properties with Real Estate Department; attends/settles rental disputes with the Rental Committee earlier and Rent Dispute Settlement Centre in Dubai –UAE .

7. Files or defends lawsuit in courts and drafts memoranda and briefs for the lawsuit and liaise with external advocates.

8. Represents the Group in any corporate and management dealings before the Economic Department, Municipality, Rental Committee, Courts, Notary Public, Prosecution, Police, Land Department, free zone authorities such as DIFC, JAFZA, SAIF and RAK.

9. Recommends the hiring and firing of employees, evaluates employees as to their work and productivity, conducts investigation to employees in relation to labor-related issues and gives decision as per the Labor Law, and gives instruction to the PRO for the appropriate procedure pertaining to each labor issue.

2. Incorporates company such as limited liability companies (LLCs) in Dubai and Abu Dhabi, establishments, branch or representative offices, as well as Jebel Ali Free Zone companies like FZE, FZCO, Branch and Offshore companies.

3. Gives legal advice to the clients on corporate, labor, maritime, real estate, contracting and subcontracting laws or agreements, and represents the client before the Ministry of Economy and Commerce, Department of Economic Development, Municipalities, Labor Department, and other government entities.
